These Terms of Service (“Terms”) govern your access to and use of the Zenious Screen Recorder Chrome extension (“Extension”) and the Zenious platform (“Platform”), collectively referred to as “Services.” By using our Services, you agree to these Terms. If you do not agree, you may not use the Services.

1. Eligibility

You must be at least 18 years old or have the consent of a parent or legal guardian to use our Services. By using the Services, you confirm that you meet these requirements.

2. Services Overview

Zenious Screen Recorder Extension

• The Extension currently does not require an account or login.

• Recordings are stored locally on your device and are not transmitted to our servers unless you manually upload them to the Platform.

• Future versions may require login to synchronize settings or enable direct uploads.

Zenious Platform

• The Platform provides AI-powered video processing, including transcription, rewriting, voiceovers, translations, and video enhancements.

• You may need to create an account via our authentication provider (Clerk) to access Platform features

3. Accounts

If you create an account, you must:

• Provide accurate, current, and complete information.

• Maintain the confidentiality of your account credentials.

• Be responsible for all activities under your account.

We may suspend or terminate your account if you violate these Terms or applicable laws.

4. User Content

“User Content” means any video, audio, text, or other materials you submit, upload, or record using our Services.

• Ownership: You retain all rights to your User Content.

• License to Zenious: By submitting User Content to the Platform, you grant Zenious a non-exclusive, worldwide, royalty-free license to process, store, and display it solely to provide and improve the Services.

• Responsibility: You are responsible for ensuring that your User Content does not infringe the rights of others, violate any laws, or contain harmful content.

5. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes.

• Upload or record content that infringes third-party intellectual property rights.

• Attempt to interfere with, disrupt, or gain unauthorized access to the Services.

• Reverse engineer, decompile, or attempt to extract source code from the Services.

• Use the Services to develop competing products without written permission from Zenious.

6. Third-Party Services

The Platform uses third-party services, including:

• Microsoft Azure for speech-to-text, text-to-speech, and AI processing.

• OpenAI (via Azure) for AI-powered script rewriting and help article generation.

• MongoDB Atlas for secure data storage.

• Clerk for authentication and account management.

We are not responsible for the acts or omissions of these third-party providers, but we ensure they are contractually bound to protect your data.

7. Resellers and Partners

If you purchase Zenious products or services through an authorized reseller or partner:

• Your agreement with the reseller governs your purchase, billing, and renewals.

• Zenious is not responsible for the reseller’s pricing or contractual terms.

• We may share limited necessary information with the reseller to fulfill your order and provide support.

8. Service Availability and Changes

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to notify you of material changes.

9. Fees and Payments

If you purchase a paid plan directly from Zenious:

• Prices are stated in the currency shown at checkout and may be subject to applicable taxes.

• Payments are processed through trusted third-party payment providers.

• Fees are non-refundable except as required by law.

• You are responsible for ensuring payment methods remain valid and up to date.

10. Intellectual Property

All Zenious trademarks, logos, software, and content (excluding User Content) are owned by Zenious or its licensors. You may not use them without our prior written consent.

11. Disclaimer of Warranties

The Services are provided “as is” without warranties of any kind, whether express or implied. We do not guarantee uninterrupted or error-free operation.

12. Limitation of Liability

To the maximum extent permitted by law, Zenious will not be liable for any indirect, incidental, or consequential damages arising from your use of the Services. Our total liability for any claim will not exceed the amount you paid to us in the 12 months prior to the claim.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.
